Guide overview
The decisions a founder makes, in the order they arrive
Estonia company registration, for a founder or group outside Estonia, means setting up an osaühing (OÜ), the private limited company. The company exists from the moment it is entered in the commercial register (äriregister). The first question is why the OÜ is the form to use and what e-Residency is for. The second is who must be identified behind an Estonian company, and why. The third is how the registration application is signed and filed, with the legal address and the share capital settled first. After the entry, the fourth question is what triggers corporate income tax. The last is what the company owes once it is on the register, and the next step.

Conclusion
Once the company is on the register
The entry gives the company a registry code (registrikood), which appears on its documents and website. That code is also its tax code, so the company needs no separate tax registration with the ETCB. A VAT number comes only with VAT registration. The company keeps its books under the Accounting Act. The management board files its annual reports through the e-Business Register, each within six months of the financial year's end under the Commercial Code (ÄS), even for a year with no activity. The next step is the business bank account. The bank checks the company, the people who act for it and its beneficial owners, and decides on the account separately, on its own file.
