Denmark ApS

ApS is the abbreviation of anpartsselskab, a private limited liability company in Denmark. It belongs to combined ownership and is a limited liability company. ApS does not allow public participation in the market; it requires a minimum of one shareholder with no upper limit, and a minimum of one director with no upper limit. A Danish ApS must have an executive management (direktion) of at least one managing director (direktør), who represents the company; it needs no local director and no company secretary. The minimum registered capital is DKK 20,000, and a cash payment is documented with a bank document at registration. The capital can be paid in the form of cash, assets, or a combination of both. At least 25% of the share capital, and never less than DKK 20,000, must be paid in before registration; if any of the capital is paid in assets, the whole share capital must be paid in full.
